September Design Studio provides branding, web design, creative direction, and related digital services. All services are defined and governed by a separate written agreement, proposal, or contract between you and September Design Studio (the “Agreement”).

In the event of any conflict, the Agreement will take precedence over these Terms.

3. Client Responsibilities

To ensure a smooth and successful collaboration, you agree to:

  • Provide accurate, complete, and timely information, content, and feedback

  • Ensure that any materials you supply do not infringe on third-party rights

  • Respond to communications and approvals within a reasonable timeframe

Delays in providing required materials or approvals may impact timelines and project delivery.

4. Fees and Payment

All fees, payment schedules, and terms are outlined in the applicable Agreement.

  • Payments are due as specified in the Agreement or invoice

  • Late payments may result in project delays or suspension of services

  • September Design Studio reserves the right to withhold deliverables until payment is received in full

All payments are non-refundable unless otherwise stated in writing.

5. Intellectual Property

5.1 Ownership

All original design work, concepts, and deliverables created by September Design Studio remain our intellectual property until full payment has been received.

5.2 License Upon Payment

Upon full payment, you are granted a non-exclusive, non-transferable license to use the final deliverables for their intended business purposes.

5.3 Restrictions

You may not:

  • Resell, sublicense, or redistribute the work

  • Modify or adapt the work without prior written consent where applicable

  • Claim authorship of the design work

5.4 Portfolio Rights

September Design Studio retains the right to display and promote completed work in our portfolio, marketing materials, and publications, unless otherwise agreed in writing.

6. Third-Party Platforms and Tools

Our services may involve third-party platforms (such as Squarespace, Shopify, or other tools). We are not responsible for:

  • Platform outages, limitations, or changes

  • Third-party terms, policies, or pricing

  • Ongoing maintenance outside the agreed scope

You are responsible for maintaining your accounts and subscriptions unless otherwise specified.

7. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of the project.

This obligation does not apply to information that is publicly available or required to be disclosed by law.

8. Termination

Either party may terminate services in accordance with the terms outlined in the Agreement.

  • You are responsible for all work completed and costs incurred up to the termination date

  • Any deposits or completed work are non-refundable

  • Upon termination, any unpaid deliverables will not be released

9. Limitation of Liability

To the fullest extent permitted by law:

  • September Design Studio shall not be liable for indirect, incidental, or consequential damages

  • We do not guarantee specific business outcomes, performance metrics, or results

  • Our total liability shall not exceed the total fees paid for the services

10. Disclaimer

All services and Website content are provided “as is” and “as available.”

We make no warranties, express or implied, regarding:

  • The accuracy or completeness of content

  • The uninterrupted or error-free operation of services

  • Results derived from the use of our services

11. Indemnification

You agree to indemnify and hold harmless September Design Studio from any claims, damages, or liabilities arising from:

  • Content or materials you provide

  • Your use of the Website or deliverables

  • Any breach of these Terms

12. Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles.

13. Changes to These Terms
